SUBSCRIPTION AGREEMENT

This Software as a Service (SaaS) Subscription Agreement (the “Agreement”) is entered into on the March 16, 2025, by and between Guest Systems, (“Guest Systems Inc”), a Wyoming Corporation, and the subscriber (“Subscriber”) identified in the subscription registration process.

1. SERVICES
Provider agrees to provide the Subscriber with access to the SaaS services (the “Services”) described on the Provider’s website or in promotional materials. The Services include access to InnCONTROL Cloud Based Guest Security Incident Reporting and Screening Solution.

2. SUBSCRIPTION TERM
The term of this Agreement commences on the March 16, 2025 (“Effective Date”) and will continue in effect until terminated by either party in accordance with Section 9 (Termination).

3. FEES AND PAYMENT
Subscriber agrees to pay the subscription fees as set forth in the Provider’s pricing schedule. Installation & Training Fees are paid in advance and due at the beginning of subscription period.
Subscription Fees are paid in advance and due monthly, quarterly, or annually, depending on frequency chose during registration.  Declined subscriber payments may result in immediate suspension of Services.

4. USE OF SERVICES
Subscriber may use the Services solely for its internal business purposes and in accordance with the terms of this Agreement. Subscriber shall not: (a) license, sublicense, sell, resell, transfer, or assign the Services; (b) modify, alter, or create derivative works based on the Services; (c) reverse engineer or decompile the Services; or (d) access the Services to build a competitive product or service.

5. CONFIDENTIALITY
Each party agrees to maintain the confidentiality of the other party’s Confidential Information.

6. DATA PROTECTION
Provider will implement reasonable and appropriate measures to protect Subscriber’s data.

7. INTELLECTUAL PROPERTY RIGHTS
All rights, title, and interest in and to the Services, including all intellectual property rights, are and will remain with Provider.

8. WARRANTIES AND DISCLAIMERS
Provider warrants that the Services will perform materially in accordance with the documentation. Except for this express limited warranty, Provider makes no warranties of any kind, whether express, implied, statutory or otherwise.

9. TERMINATION
Either party may terminate this Agreement upon [insert notice period, e.g., 30 days] written notice to the other party.

10. LIMITATION OF LIABILITY
In no event will either party be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

11. GENERAL
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements. This Agreement may only be amended in writing, signed by both parties.
